This Agreement describes the terms and conditions on which Lafarge North America Inc. ("Lafarge") allows access and use of Lafarge's Customer Web Site (including any of the services made a part of or available there through) (the "Site", also referred to as "Lafarge Online") and various other web pages and sites operated by Lafarge, its subsidiaries and affiliates (collectively, "Lafarge", "we" or "us"). Your access or use of any of the Site in any way constitutes your agreement to all the terms and conditions set forth herein. Some of the Lafarge web pages on the Site may provide services or features under their own terms and conditions of use and you agree to comply with such terms of use in your use of those services. In the event of a conflict, the additional terms and conditions will govern for those sections or pages.

1. Limited License. Beginning with your registration with Lafarge as a user of the Site ("Registered User"), Lafarge grants you a non-exclusive, non-transferable, revocable limited license to access, use and display the Site and the content and materials thereon including, without limitation, all graphics, text and computer programs contained therein, the underlying code, the pages displaying the Site and the arrangement of the Site ("Content") and any software that may be necessary to use the Site. You acknowledge and agree that the Site and the Content are protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws and are provided only for your use in managing your customer relationship with Lafarge and in communicating information between you and Lafarge with respect thereto. You are also granted a limited license to print copies of any Content posted at the Site, but only for your use in managing your customer relationship with Lafarge and in communicating information between you and Lafarge with respect thereto. Except as expressly provided above, all rights are reserved. Use of any of our trademarks as metatags on other Web sites or otherwise is also strictly prohibited. Except as expressly provided herein, Lafarge does not grant any express or implied rights to use any information, documents, communications, files, text, graphics, software and products included within the Site. You agree not to copy, republish, frame, download, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sublicense, reverse engineer, or create derivative works based on the Site, the Content or its selection and arrangement within the Site, except as expressly authorized herein. WE AND OUR AGENTS, OFFICERS OR EMPLOYEES SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, INTERRUPTION OF BUSINESS, NOR FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OF ANY KIND, WHETHER UNDER THIS AGREEMENT OR OTHERWISE ARISING IN ANY WAY IN CONNECTION WITH THE SITE, ANY SOFTWARE USED TO ACCESS THE SITE, ANY OF THE SERVICES AVAILABLE THROUGH THE SITE OR THE CONTENT REGARDLESS OF WHETHER SUCH CLAIM ARISES UNDER ANY THEORY OF TORT, CONTRACT, STRICT LIABILITY OR OTHERWISE AND REGARDLESS OF WHETHER WE ARE ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.

Linked Sites are not under the control of Lafarge. If you use a Linked Site, you will leave the Site. If you decide to visit any Linked Site, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements and understand the privacy policies of the Linked Site. Lafarge makes no warranty or representation regarding, and does not endorse and is not responsible for, any Linked Site or the information appearing thereon or any of the products or services described thereon. Links to Linked Site do not imply that Lafarge sponsors, endorses, is affiliated or associated with, or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in or accessible through the links, or that any Linked Site is authorized to use any trademark, trade name, logo or copyright symbol of Lafarge.

6. Privacy. Use of the Site is governed by Lafarge Online Privacy Policy. This includes information you provide when you become a Registered User. As a Registered User, you will be given the option to utilize cookies to help us establish your identity when you visit the Site. 7. Submission of Information. Except as otherwise stated in the Lafarge Online Privacy Policy, all information transmitted or otherwise submitted to us via the Site shall become our property and we shall be free to use such information for any lawful purpose. We cannot guarantee complete confidentiality of information shared over the internet. By transmitting information to the Site you agree to assume that risk with respect to all data transmitted by you and transmitted by us to you. We may require your use of certain encryption systems to lessen these risks in certain transactions.

8. Account Statements. Although we endeavor to ensure that account information obtained from the Site is accurate and complete, your printed invoices and monthly statements represent the complete and official disclosure to you of applicable account information. Please refer to such documents for important information.

9. Indemnity. You agree to indemnify Lafarge and its directors, officers and employees against any liabilities, losses, expenses or other costs Lafarge incurs arising from a breach of any of the terms hereof by you.

10. Suspension and Termination. Lafarge may modify, terminate and/or suspend your access to the Site, any related services or any portion thereof at any time, without notice. Lafarge may also impose limits on certain features and services or restrict your access to parts or all of the Site without notice or liability. Lafarge may also at any time discontinue providing the Site, or any part thereof, with or without notice.

11. Amendments; Modifications. Lafarge reserves the right in its sole discretion to change, modify, add or remove any of the terms and conditions set forth herein in whole or in part and at any time by posting the amended terms on the Site. Lafarge will provide notice on the Site of material changes to these terms and conditions when made by Lafarge. Your continued use of the Site after such notice has been posted constitutes your acceptance of such changes. Your use of the Site will be subject to the version of the terms and conditions posted on the Site at the time of such use by you. This Agreement may not otherwise be amended. You should periodically check the "Terms and Conditions" link on the Site's home page to view the then-current terms.

12. Governing Law. This Agreement is governed by the laws of the State of Virginia, U.S.A., without regard to its principles of conflict of laws. The Site is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to local law or regulation, would subject Lafarge to any liability or would not give effect to all of the provisions in this Agreement. You may not access the Site or the Content where such access is illegal or prohibited or where such access would subject Lafarge or its affiliates to any liability.

13. Use For Illegal Activities Prohibited. It is prohibited to use the Site in violation of the terms herein, in any manner which could damage, disable, interrupt, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site or for any illegal activities. Illegal activities include, but are not limited to, tampering with information data bases and software, unauthorized entry to other networks or computers, trafficking in illegal products or substances, disobeying trade restrictions, violating civil rights laws or knowledgeable vandalism or destruction of online files. You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of the Site including U.S. export laws and regulations, which regulate the distribution of materials and services originating in the United States.

14. Agreement To Arbitrate. All disputes relating to this Agreement, use of the Site or the Content shall be subject to final and binding arbitration, with the losing party paying all costs of arbitration. Any arbitration relating to this Agreement shall be held in Fairfax County Virginia, under the rules of the American Arbitration Association.

15. Complete Agreement/No Representations. This Agreement constitutes the entire agreement between you and us relating to your access to and use of the Site. Lafarge's failure to insist at any time upon strict compliance with any term of this Agreement, or any delay or failure on Lafarge's part to exercise any power or right given to Lafarge in this Agreement, or a continued course of such conduct on Lafarge's part shall at no time operate as a waiver of such power or right, nor shall any single or partial exercise preclude any other future exercise. All rights and remedies given to Lafarge in this Agreement are cumulative and not exclusive of any other rights or remedies which Lafarge otherwise has at law or equity. Any rights not otherwise expressly granted by this Agreement are reserved by us. Captions are for convenience only. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect. The provisions of this Agreement which expressly or by implication are intended to survive its termination will survive and continue to bind both of us.

16. Registration for the Lafarge Customer Site. When becoming a Registered User, your registration must contain the relevant information in all the required fields indicated on the registration form. You hereby warrant that all information on your registration is true, accurate, complete and up-to-date and you agree to make any changes necessary to your profile on the Customer Site to ensure such information is true, accurate, complete and up-to-date at all times. Lafarge reserves the right, acting in our sole discretion, to accept or reject your registration for the Customer Site.

17. Access Codes. AS A REGISTERED USER, YOU ARE RESPONSIBLE TO MAINTAIN THE CONFIDENTIALITY OF YOUR PASSWORD OR OTHER USER CODES WHICH YOU NEED TO ACCESS THE SITE (TOGETHER, THE "ACCESS CODES"). YOU AUTHORIZE LAFARGE TO ACT ON INSTRUCTIONS RECEIVED UNDER YOUR ACCESS CODES WITHOUT FURTHER VERIFICATION BY US. YOU SHALL BE FULLY RESPONSIBLE FOR ALL ACTIVITIES THAT OCCUR UNDER YOUR ACCESS CODES, WHETHER OR NOT AUTHORIZED BY YOU. YOU AGREE THAT LAFARGE IS AUTHORIZED TO PROVIDE INFORMATION TO AND TO ACT UPON THE INSTRUCTIONS OF ANY PARTY THAT PRESENTS YOUR ACCESS CODES AND THAT LAFARGE IS NOT LIABLE FOR ANY LOSS, DAMAGE, CLAIM OR LIABILITY WHICH IS CAUSED BY, OR RELATED TO, USE OF YOUR ACCESS CODES. YOU AGREE TO IMMEDIATELY NOTIFY LAFARGE OF ANY UNAUTHORIZED USE OF YOUR ACCESS CODES, ANY OTHER BREACH OF SECURITY KNOWN TO YOU WITH RESPECT TO EITHER YOUR ACCESS CODES OR TO ANY ACTUAL OR POTENTIAL UNAUTHORIZED ACCESS OF THE SITE THROUGH YOUR ACCESS CODES INCLUDING, WITHOUT LIMITATION, THE TERMINATION OF EMPLOYMENT WITH YOU OF ANY PERSON THEN OR PREVIOUSLY IN POSSESSION OF YOUR ACCESS CODES WHICH ARE CURRENT AT THE TIME SUCH EMPLOYMENT TERMINATES. IF YOU DO NOT ACCESS THE SITE FOR 45 CONSECUTIVE DAYS, YOU WILL BE SENT A REMINDER THAT YOUR ACCESS CODES WILL EXPIRE AFTER AN ADDITIONAL 45 DAYS OF INACTIVITY. IF YOU DO NOT ACCESS THE SITE FOR 90 CONSECUTIVE DAYS, YOUR ACCESS CODES WILL EXPIRE AND YOU WILL HAVE TO OBTAIN NEW ACCESS CODES TO VISIT THE SITE.
